General Commercial And  Company Law

The main source of French general commercial and company law (as well as bankruptcy law) is the Commercial Code (code de commerce). However, the Civil Code (code civil) and the Monetary and Financial Code (code monétaire et financier) also set out various provisions which apply to French companies.


This chapter includes fundamental provisions of commercial and company law, including bankruptcy law and criminal violations arising from business conduct.


General principles of commercial law


Two of the basic concepts at the core of French commercial law are the notion of fonds de commerce and the classification of French business entities into commercial companies (sociétés commerciales) and civil companies (sociétés civiles).


The notion of fonds de commerce (a business) refers to a group of tangible and intangible assets used by an individual or a legal entity in the conduct of a going concern as a business. As a legal concept, the notion of fonds de commerce is similar but not identical to the notion of goodwill. The fonds de commerce constitutes a very important legal notion in the French business environment, not only in connection with corporate reorganizations involving the sale or lease of businesses but, in addition, in connection with the ability of companies to obtain financing. Such companies often pledge the fonds de commerce as a means of giving security to creditors.


Under French law, the word société refers to both (i) the contract by which one or more persons decide to contribute cash or in-kind property to a common enterprise with a view to sharing in the profit or loss thereof, and (ii) a legal entity, having legal personality, which is the “common enterprise” resulting from the contract. Author Detail

George A. Bermann is the Jean Monnet Professor of European Union Law and Walter Gellhorn Professor of Law at Columbia Law School, where he also directs the European Legal Studies Center. 

Pierre Kirch, a graduate of Dartmouth and the University of Paris Law School (Paris I and Paris II), a past president of the Dartmouth Club of France, immediate past chair of the EU law section of the Union Internationale des Avocats, currently serves as the rapporteur of AmCham EU's working group on State aid in Brussels. He is also a founding member of the Editorial Board of the French language quarterly review of competition law, Concurrences (Thomson/Transactive).
