This chapter gives an overview of the statutory provisions concerning supervision of the French stock markets as carried out by an independent regulatory authority: the Authorité des marchés financiers (AMF), which was established by the Law on Financial Security of August 1, 2003. The AMF was formed from the merger of the Commission des opérations de bourse (COB), the Conseil des marchés financiers (CMF) and the Conseil de discipline de la gestion financière (CDGF). Henceforth, there is one securities regulator in France: the AMF.


The Regulatory authority


Rules governing French securities tend to be very current and fluctuating, including those rules promulgated by, and subject to enforcement by, the AMF since it came into being in 2003.


The AMF is an independent public body with legal personality and financial autonomy. Its role is to (i) safeguard investments in securities and in all other savings and investment vehicles, (ii) ensure that investors receive material information and (iii) regulate financial markets. The AMF’s jurisdiction encompasses the areas set out below.


Securities and financial disclosure


The AMF sets rules for and monitors transactions involving the securities of publicly traded companies (initial public offerings, capital increases, mergers, etc.) and ensures that tender offers are conducted in an orderly fashion. It also monitors companies to ensure that they provide complete, relevant information on a timely basis and in an equitable manner to all market participants (investors, analysts, fund managers, the press, the general public, etc.)


Collective investment products


The AMF authorizes the formation of mutual funds and similar collective investment vehicles and products and reviews the information in the prospectus that must be given to potential investors prior to subscription. For complex

Author Detail

George A. Bermann is the Jean Monnet Professor of European Union Law and Walter Gellhorn Professor of Law at Columbia Law School, where he also directs the European Legal Studies Center. 

Pierre Kirch, a graduate of Dartmouth and the University of Paris Law School (Paris I and Paris II), a past president of the Dartmouth Club of France, immediate past chair of the EU law section of the Union Internationale des Avocats, currently serves as the rapporteur of AmCham EU's working group on State aid in Brussels. He is also a founding member of the Editorial Board of the French language quarterly review of competition law, Concurrences (Thomson/Transactive).
