Competition Law

This chapter sets out the most important substantive provisions regulating competition in France.


Historically, the Ordinance (ordonnance) of June 30, 1945 established price control regulations during the period immediately following World War II. In 1986, the Government launched a new program of economic liberalization, issuing the Ordinance of December 1, 1986, which laid down the general principle of freedom in pricing and competition. Finally, the Law on New Economic Regulations (“Loi NRE”) of May 15, 2001 codified the original 1986 Ordinance as part of the Commercial Code (code de commerce), but substantially
amended its rules, including the introduction of mandatory merger control notification procedures to replace the voluntary notification procedures of the previous twenty-five years. (The new merger control rules actually entered into effect one year later, upon promulgation of an implementing decree.)


Fundamental principles of competition law


Book IV of the Commercial Code, relating to freedom in pricing and competition, is the main source of competition law in France. Substantive provisions of French law prohibit anticompetitive agreements, the abuse of dominant market position and predatory pricing. In many cases, the underlying concepts of French law are identical or similar to concepts under European Union law. Indeed, there is a certain, ever-increasing convergence between the two, with, however, some notable differences. Thus for instance, whereas the
application of French rules on abuse of dominant market position is substantially similar to the EU rules, in practice French law has certain concepts which do not exist under EU law, such as the principle of abuse of a situation of economic dependence, as set out in Article 420-2 (2) of the Commercial Code.


The Loi NRE of May 15, 2001 marks a new page in French competition law in that it reflects the Government’s will to maintain the French rules in step with EC competition law. The codification of the competition statutes in the Commercial Code (Article L. 420-1 et seq.) has rendered the French rules set out in various pieces of legislation over the years easier to deal with. Author Detail

George A. Bermann is the Jean Monnet Professor of European Union Law and Walter Gellhorn Professor of Law at Columbia Law School, where he also directs the European Legal Studies Center. 

Pierre Kirch, a graduate of Dartmouth and the University of Paris Law School (Paris I and Paris II), a past president of the Dartmouth Club of France, immediate past chair of the EU law section of the Union Internationale des Avocats, currently serves as the rapporteur of AmCham EU's working group on State aid in Brussels. He is also a founding member of the Editorial Board of the French language quarterly review of competition law, Concurrences (Thomson/Transactive).
