Article 1. Sphere of Application of Present Federal Law
1. In accordance with the Civil Code of the Russian Federation, the present Federal Law determines the procedure for the creation, reorganization, and liquidation, and the legal status of joint-stock societies, the rights and duties of their stockholders, and also ensures the defense of the rights and interests of stockholders [as amended by Federal Law No. 120-Ф3, 7 August 2001]. 11. The provisions of the present Federal Law concerning open joint-stock societies shall apply to public joint-stock societies in the part not contrary to the Civil Code of the Russian Federation (in the version of the Federal Law of 5 May 2014, No. 99-ФЗ, “On Making Changes in Chapter 4 of Part One, of the Civil Code of the Russian Federation and Deeming Individual Provisions of Legislative Acts of the Russian Federation to Have Lost Force”) [added by Federal Law No 218-ФЗ, 21 July 2014]. 2. The present Federal Law shall extend to all joint-stock societies created or to be created on the territory of the Russian Federation unless established otherwise by the present Federal Law and by other federal laws. 3. The peculiarities of the creation, reorganization, liquidation, and legal status of joint-stock societies in the spheres of banking, investment, and insurance activity, and also activity relating to non-State pension security and activity as an insurer with regard to obligatory pension insurance, and also specialized societies, shall be determined by federal laws [as amended by Federal Laws No. 120-Ф3, 7 August 2001; No. 379-ФЗ, 21 December 2012; and No. 410-ФЗ, 28 December 2013]. 4. The peculiarities of the creation, reorganization, and liquidation, and legal status of joint-stock societies created on the base of collective farms, State farms, and other agricultural enterprises reorganized in accordance with the Edict of the President of the Russian Federation of 27 December 1991, No. 323, “On Urgent Measures Relating to the Effectuation of Land Reform in the RSFSR”, and also peasant (or farmer) economies, servicing and service enterprises for agricultural producers, to wit: enterprises of material-technical supply, repair technical enterprises, enterprises for agricultural chemistry, forestry farms, construction inter-farm organizations, rural electric power enterprises, seed-growing stations, flax plants, and enterprises for the processing of vegetables shall be determined by federal laws [as amended by Federal Law No. 120-Ф3, 7 August 2001].
William E. Butler, Emeritus Professor of Comparative Law in the University of London, attached to University College London, is the John Edward Fowler Distinguished Professor of Law at the Dickinson School of Law, Pennsylvania State University, and Founder and Director of The Vinogradoff Institute.
An authority on the legal systems of Russia and former Soviet nations, he is the author, co-author, editor or translator of more than 3,500 books and articles on Russian, Soviet, Kazakhstan, Ukrainian, Uzbekistan, and other Commonwealth of Independent States legal systems. He has acted as Counsel to the EBRD, European Union, World Bank, United Nations, and Department for International Development of the United Kingdom on individual law reform projects.
The recipient of numerous honors for his service to Russian and international law, Professor Butler is Academician of the National Academy of Sciences of Ukraine and the Russian Academy of Natural Sciences, Associate of the International Academy of Comparative Law, and Member of the Russian Academy of Legal Sciences. He has been elected to his fourth term as a member of the Russian International Court of Commercial Arbitration. In 2003 Professor Butler was awarded the G. I. Tunkin Medal by the Russian International Law Association.
